This course provides a foundational exploration of Canadian corporate law, beginning with a historical overview that contextualizes the evolution of key statutes and regulatory frameworks. You’ll gain insight into the origins and purposes of major corporate law Acts and how they continue to shape modern business regulation.
We examine the distinctions between federal and provincial incorporation, and explain the interaction between these jurisdictions in regulating corporate entities. You’ll also learn the extent to which the Canadian Charter of Rights and Freedoms applies to corporations, and explore the core functions and policy objectives of corporate law in Canada. The course concludes with an analysis of shareholder protections, including rights of minority shareholders and considerations for non-shareholder stakeholders.
